Terms of Service

1. Agreement to Terms

By downloading, installing, or accessing the PixelSpark mobile application ("App") or utilizing any of our associated image and video enhancement API services, cloud-processing systems, and websites (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a binding legal agreement between you and Pixel Enhance Labs ("we," "us," or "our").

If you do not agree to these Terms, you may not download, install, or use the App or Services. Your continued use of the Services signifies your acceptance of these Terms.

2. Eligibility and Account Registration

You must be at least 18 years of age (or the age of majority in your jurisdiction) to use our Services. By registering an account, you represent and warrant that you possess the legal capacity and authority to enter into these Terms.

To access certain features of the Services (including cloud-based media processing), you must create a PixelSpark account. You agree to:

• Provide accurate, complete, and current registration information.
• Maintain the security of your credentials (including emails, passwords, and passkeys).
• Promptly update your profile should your contact information change.
• Accept sole responsibility for all actions and transactions occurring under your account.

3. User Content and Media Uploads

Our App allows you to upload, process, and download photos, images, and video frames (collectively, "User Content").

A. Ownership and Rights

You retain 100% ownership of all original User Content you upload to PixelSpark. We do not claim any proprietary rights, copyrights, or ownership over your media.

B. License Grant for Processing

To enable us to provide the Services, you hereby grant Pixel Enhance Labs a limited, non-exclusive, royalty-free, worldwide, fully-paid license to host, transmit, copy, run, modify, and process your User Content solely for the purpose of executing the requested AI enhancement algorithms and delivering the outputs back to you.

C. Cloud Retention and Deletion

When you use cloud-based enhancement, your files are transmitted via secure TLS encryption and stored in our protected cloud storage containers. We automatically delete your uploaded raw files and processed outputs from our operational servers after processing is completed, unless active caching is explicitly requested by a user feature, or when a legal/security hold is required. You can manage and delete individual enhancement histories at any time from within the App.

D. Prohibited Content

You represent and warrant that your User Content does not violate any third-party copyrights, intellectual property rights, privacy rights, or public laws. You are strictly prohibited from uploading content that contains extreme violence, illegal acts, malware, non-consensual intimate imagery, or material that exploits minors.

4. Subscriptions, Purchases, and Credits

PixelSpark operates on a hybrid model of local processing (which is free on compatible hardware) and premium cloud processing which consumes computational credits.

• In-App Purchases: All billing, token credit purchases, and subscriptions are managed and billed through the Google Play Billing system (and/or other official app store providers as applicable).
• Refunds: Payments made via the Google Play Store are subject to Google Play’s refund policies. To the maximum extent permitted by law, purchased computational credits are non-refundable and have no cash value.
• Price Adjustments: We reserve the right to alter pricing, packages, or credit costs for cloud-processing pipelines at any time with prior notice.

5. Code of Conduct and Restrictions

You agree that you will not, under any circumstances:

1. Attempt to reverse-engineer, decompile, or extract the source code or underlying neural network weights of the PixelSpark application.
2. Bypass, disable, or defeat any licensing or security restrictions placed on local TFLite models or cloud API endpoints.
3. Deploy bots, spiders, crawlers, or automated scripts to interact with or abuse our cloud infrastructure.
4. Use the Services to create, train, or optimize competitive machine learning models or commercial photo-enhancement software.
5. Resell, lease, or sub-license access to your PixelSpark account or cloud computational credits.

6. Intellectual Property

All intellectual property rights in the Services—including our brand name, logo, user interface designs, visual identities, NPU-optimized models, and software architectures—remain the exclusive property of Pixel Enhance Labs and its licensors. Except for the limited license granted herein to use the Services, nothing in these Terms transfers any proprietary rights to you.

7. Disclaimer of Warranties

THE SERVICES AND ALL ENHANCEMENT OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIXEL ENHANCE LABS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Services will be uninterrupted, error-free, secure, or that the AI enhancement results will meet your expectations or yield specific quality metrics (such as exact PSNR/SSIM levels) on all input media.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PIXEL ENHANCE LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, INCURRED BY YOU, WHETHER IN AN ACTION IN CONTRACT OR TORT, ARISING FROM YOUR ACCESS TO OR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY FOR ALL CLAIMS EXCEED THE GREATER OF FIFTY U.S. DOLLARS ($50.00) OR THE TOTAL FEES PAID BY YOU TO PIXELSPARK IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or related to your use of the Services shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without giving effect to any principles of conflicts of law. Any legal suit, action, or proceeding arising out of or related to these Terms shall be instituted exclusively in the federal or state courts located in Delaware.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 15 days' notice prior to any new terms taking effect, either via an in-app notification or an email. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
